Summary:The Corporate Paralegal will work within the Corporate Law
Department at Company headquarters in Lynnfield, MA. This position
will report to the Senior VP & General Counsel, be a member of the
Law Department and work closely with the Company's lawyers and
other executives to meet various needs of the Department and the
Company and its affiliates.Essential Duties and
Responsibilities:Contract Management System: team with Department's
senior administrator to manage Company's contract management system
(Agiloft), including manage updates and changes; access documents
in the system as needed; assist lawyers in managing responses to
contract notifications; provide training for new employees on use
of the Agiloft system; monitor system developments and recommend
improvements or upgrades as appropriate; and assist lawyers in
broadening and expanding use of the Agiloft system.Records Program:
manage Company's record retention program, including maintenance of
Exterro on-line system; process and monitor litigation hold notices
through the Exterro System; provide training for new employees on
the records program and Exterro System; maintain corporate minute
books and organizational records of the Company and its
affiliatesBasic Contract Actions: under attorney guidance, perform
basic contract activities such as selecting and implementing
nondisclosure agreements, drafting simple contract amendments,
renewals, and extensions, organizing contract exhibits and
appendices, and drafting abstracts of key terms of important
contractsAssist in maintaining the contract management system,
including entering new contracts and populating information forms
in the system; manage updates and changes; access documents as
needed; respond to business requests for contracts.Real Estate:
handle basic business and legal issues related to Company-owned
real estate; organize records of the Company's real estate holdings
and work with business and legal executives to assure information
is readily available and easily accessible as needed. Update binder
with summaries of the Company's real estate
holdings.Claim/Discovery/Due Diligence Coordination: serve as lead
on gathering records and information for third party claims,
discovery requests related to litigation or due diligence materials
needed for business transactions; coordinate with IT on electronic
searches for Company records as needed; maintain organized files of
materials that are relevant to matters.Supplier Documentation:
assist Company team responsible for collecting, reviewing and
maintaining documentation from suppliers regarding ingredients
and/or packaging purchased by the Company.Manage the company's
record retention program, including maintenance of an on-line
system (System); process and monitor litigation hold notices
through the System; provide training for new employees on the
records program and System; maintain corporate minute books and
organizational records of the company.Perform other ad hoc projects
as assigned in areas of Corporate Law.Education and
Experience:--Associates Degree in Paralegal Studies or a Bachelor's
Degree in another field.At least 10 years of experience as a
paralegal in a sophisticated law firm and/or in-house legal
departmentSkills and Competencies:----Proven experience in
contracts law and management and fluency in key commercial
terms.Strong drafting skills.Solid organizational skills and
comfort working with large volumes of information.Able to work
independently and collaboratively across business teams.Able to
work effectively with multiple internal stakeholders.Strong
communication and analytical skills.Facility with Office 365 and
ability and willingness to learn new software systems related to
assignments.Experience with Agiloft contract management system is a
